MIRRI (UBOT LABS, LLC) TERMS OF SERVICE

1. Acceptance of Terms

Welcome to MIRRI, INC. ("MIRRI," "Ubot Labs, LLC," "we," "us," or "our"). By accessing or using the MIRRI platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, your only recourse is to abstain from using the Platform.

2. Eligibility

You must be at least 13 years old to use MIRRI. By using the Platform, you affirm that you meet this age requirement.

3. Platform Overview

MIRRI is a social network as a service platform that enables users to control their data through surveys. Users can create, participate in, and share surveys on topics such as culture, sports, books, movies/television, hobbies, and politics. Surveys regarding protected characteristics (e.g., race, religion) are not permitted.

4. User-Generated Surveys

Users may create their own surveys as long as they comply with our guidelines and do not cover protected classes. MIRRI is not liable for any user-generated content, and we reserve the right to remove any surveys that violate these Terms.

5. Privacy and Data Control

Your data belongs to you. We do not sell or share your personal information with third parties. For more details, please review our Privacy Policy.

6. Authenticity and Connection Recommendations

MIRRI facilitates connections based on shared attributes identified in surveys. Users maintain full control over whether to engage with recommended connections.
No bots or fake profiles are permitted on the Platform. Any violations should be reported immediately to [email protected].

7. Premium Membership

Users may upgrade to a premium membership to access additional features, including, but not limited to:

The ability to set a location beacon within their profile.
The option to share links to external communication platforms within their profile.

8. Content Ownership & License

Users retain ownership of the content they create, including surveys, responses, and profile information.
By posting content on MIRRI, users grant MIRRI a limited, non-exclusive, royalty-free license to use, display, and distribute their content solely for the purpose of operating and improving the Platform.

9. Moderation & Enforcement

MIRRI reserves the right to remove any content that violates these Terms, including offensive, harmful, or infringing material.
Users can report violations to [email protected].
MIRRI may issue warnings, suspend, or terminate accounts for repeated violations.

10. User Responsibilities & Security

Users are responsible for maintaining the security of their accounts and choosing strong passwords.
If unauthorized access is suspected, users should immediately contact [email protected].

11. Third-Party Services & Links

MIRRI may allow users to share links to external services. MIRRI is not responsible for the content, policies, or security of third-party websites or services.

12. Data Retention & Deletion

Users may request account deletion by emailing [email protected].
Upon request, MIRRI will delete user data within 30 days.
Data will not be sold.

13. Copyright & Intellectual Property Claims

If you believe that content on MIRRI infringes your copyright, please contact [email protected] with relevant details.
MIRRI will review and address infringement claims in accordance with applicable laws.

14. Limitation of Liability

MIRRI provides the Platform "as is" and "as available" without warranties of any kind. We are not responsible for:

The accuracy of user-generated content, including surveys and responses.
The behavior of other users on the Platform.
Any connections made or interactions resulting from Platform usage.
Any unauthorized surveys related to protected characteristics that may mistakenly appear on the Platform. If such a survey is identified, we will take prompt action to remove it.

To the maximum extent permitted by law, MIRRI shall not be liable for any indirect, incidental, special, consequential, or punitive damages. If, notwithstanding the foregoing, MIRRI is found liable for any claim arising from the use of the Platform, the total liability shall not exceed one hundred dollars ($100) or the amount paid by the user to MIRRI in the past 12 months, whichever is less.

15. Indemnification

You agree to indemnify, defend, and hold harmless MIRRI, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

16. Force Majeure

MIRRI shall not be held liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, pandemics, cyberattacks, governmental actions, or internet failures.

17. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved exclusively in the courts of Florida.

18. Severability & No Waiver

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. MIRRI's failure to enforce any right or provision under these Terms does not constitute a waiver of such right or provision. The absence of a specific clause addressing a particular issue shall not be construed as an assumption of liability by MIRRI.

19. Changes to Terms

We may update these Terms from time to time. Continued use of the Platform constitutes acceptance of the revised Terms.
